Terms & Conditions
Please read these Terms carefully before you place an order. By making any payment towards an order, including a deposit, you accept these Terms in full.
1. About us
1.1Collection Noir is the trading name of Collection Noir Ltd, a company registered in England and Wales under company number 12638958. Our VAT number is 351 0299 21.
1.2Our registered office and showroom is at Design Centre Chelsea Harbour, 2nd Floor, Design Centre East, London SW10 0XE. You can contact us at info@collectionnoir.com.
1.3In these Terms, "we", "us" and "our" mean Collection Noir Ltd, and "you" means the person or business placing the order.
2. Definitions
2.1Piece means each item of furniture you order from us.
2.2Order means your order for one or more Pieces, including any delivery or installation we agree to arrange.
2.3Specification means the written description of your Piece that you approve before we start work, including design, dimensions, stone or other materials, finish and, where applicable, the photographs of the slab selected.
2.4Consumer means an individual buying wholly or mainly for purposes outside their trade, business, craft or profession. Trade Client means an interior designer, architect, developer or other business buying in the course of its business.
3. Acceptance of these Terms
3.1These Terms apply to every Order placed with us, whether online, by email, by telephone or in our showroom. They are provided with every quotation and pro forma invoice and are published on our website.
3.2By making any payment towards an Order, including a deposit, by any method, you confirm that you have read, understood and accepted these Terms in full, including the non-refundable deposit in clause 7 and your sole responsibility for site access in clause 13.
3.3For online orders, you must tick to accept these Terms before payment can be made.
3.4No other terms apply to your Order unless agreed in writing by a director of Collection Noir Ltd. Terms fixed at the date of your Order will apply to that Order.
4. Our pieces
4.1Every Piece is made to order by hand by our specialist workshops, to the Specification you approve. We do not hold finished stock, other than ex-display pieces offered for sale from time to time.
4.2Images, renders and descriptions on our website and in our presentations illustrate the design. The Specification you approve is what we make.
5. Quotations and how the contract is formed
5.1Our quotations are valid for 30 days from the date of issue, unless stated otherwise.
5.2A binding contract is formed when you have approved the Specification and your deposit has cleared, and we have sent you our order acknowledgement.
5.3Please check the Specification carefully, including all dimensions, materials and finishes, before you approve it. You are responsible for its accuracy.
5.4If we discover an obvious error in a price or description before the contract is formed, we will contact you and you may confirm the Order at the correct price or cancel it.
6. Prices and payment
6.1Prices are in pounds sterling and include VAT at the current rate. For delivery within the United Kingdom, import duties are included in the price.
6.2Delivery, installation and any specialist handling are charged separately unless your quotation states otherwise.
6.3A deposit of 70% of the total Order value is payable to confirm your Order.
6.4The balance of 30% is payable when we notify you that your Piece is complete, and before it leaves our workshop. We will send you photographs of the finished Piece with the balance request.
6.5We will not dispatch your Piece until payment has been received in full.
7. Your deposit
7.1We will not purchase stone, reserve materials or schedule workshop time until your deposit has cleared.
7.2Your deposit is committed immediately to purchasing and reserving the stone and other materials selected for your Piece and to securing production time at our workshop. Natural stone is bought by the slab and cut to your Order, and once cut it cannot be used for another client. For this reason your deposit is non-refundable once your Order is confirmed, except where we are unable to fulfil your Order or where the law requires a refund.
7.3If you cancel before we have purchased stone or scheduled production, we will refund your deposit less the costs we have reasonably incurred, which we will itemise for you.
8. Late payment, storage and uncollected pieces
8.1The balance is due within 14 days of our notice that your Piece is complete.
8.2Completed Pieces are stored free of charge for 14 days from that notice. After that, storage is charged at £50 per week, together with a one-off handling fee of 1.2% of the Order value to cover moving your Piece into and out of storage. Storage charges are payable before delivery.
8.3If the balance remains unpaid 60 days after our notice, we may give you 14 days' further written notice and then cancel the Order, retain the deposit, and sell the Piece. We will apply the proceeds to the balance, storage and our costs of sale, and refund any surplus to you.
9. Ownership and risk
9.1Ownership of the Piece passes to you only when we have received payment in full.
9.2Risk in the Piece passes to you when it is delivered to the agreed address, or when it is collected by you or by a carrier you arrange.
10. Changes to your order
10.1Once your Order is confirmed, changes to the Specification are possible only with our written agreement. Changes may be charged, and may extend the lead time.
10.2Once stone has been cut or production has started, some changes may no longer be possible.
11. Natural materials, variation and tolerances
11.1Every Piece is made by hand from natural materials. Stone, timber and metal vary in colour, tone, veining, pattern, grain and texture from one slab, log or casting to the next, and within a single Piece. These variations are natural characteristics of the material and are not defects.
11.2Natural stone may contain fissures, pitting, crystal formations, natural voids and colour shifts. Travertine is naturally porous and its voids are filled as part of the finishing process; filled areas may differ in tone from the surrounding stone. Onyx is translucent and varies in depth of colour. Where stone is repaired or reinforced with resin or backing as standard workshop practice, this is not a defect.
11.3Photographs, renders and images on our website and in our presentations illustrate the design and do not represent the stone, timber or metal used in your Piece. Samples show the type of material only and will not match your Piece exactly.
11.4Where you approve a specific slab, the approved slab photographs are the reference for your Piece. Where you do not select a slab, we select stone of the same material type on your behalf, and its appearance will differ from any image or sample.
11.5Timber, including burl veneers and stained oak, varies in figure, knots and grain, and will mellow and change colour with exposure to light over time. Bronze patina is a hand-applied, living finish that varies between Pieces and develops with age and handling.
11.6Finished dimensions may vary by plus or minus 5mm in length, width and height, and stone thickness may vary by plus or minus 2mm. Variation within these tolerances is not a defect.
11.7Variation described in this clause is not grounds for cancellation, rejection, return or refund.
12. Lead times and events outside our control
12.1Lead times are estimates and run from the date your Order is confirmed. They depend on the availability of stone and workshop capacity at the time of your Order. We will keep you informed of progress.
12.2We are not liable for delay caused by events outside our reasonable control, including shortages of stone, quarry or workshop closures, transport disruption, customs delays, strikes, extreme weather, pandemic, war or government action.
12.3If such an event delays your Piece by more than 12 weeks beyond the estimated date, either of us may cancel the Order by written notice. We will refund the sums you have paid, less the reasonable costs of materials and production already incurred, which we will itemise for you.
13. Delivery, access and site conditions
13.1Your quotation states the delivery service included: kerbside, room of choice, or delivery with installation. Any other service is quoted separately.
13.2Site access is your sole responsibility. Before placing your Order you must check and measure the full delivery route, including every door, hallway, turn, stairwell and lift, with each lift's internal dimensions and load rating, and satisfy yourself that your Piece can reach its final position. We will give you the crated dimensions and weight of your Piece before you order. By making payment you confirm that you have carried out these checks.
13.3Collection Noir accepts no responsibility for any access restriction at your property or building, whether physical, such as door widths, stairs, lifts or floor loading, or imposed by others, such as building management, a landlord, a concierge, or parking and local authority rules. If your Piece cannot be delivered or installed because of any such restriction, your Order remains binding, all sums remain payable, and you will pay every resulting cost, including failed delivery, return transport, storage, specialist handling and re-delivery. Access restrictions are not grounds for cancellation, refund or return.
13.4You are responsible for confirming that the floors on the route and in the final position can bear the weight of the Piece. Stone Pieces are heavy and delivered crated; if in doubt, please consult your architect or structural engineer.
13.5You must obtain, at your own cost, every consent needed for delivery from your building management, landlord or concierge, including service lift bookings, loading bay slots, permitted delivery hours and any insurance certificates or method statements they require. Please give us these details at least 10 working days before delivery.
13.6You are responsible for parking and road access, including parking suspensions, permits and any charges incurred by the delivery vehicle while at your property.
13.7On the day, the route must be clear, the area where the Piece is to be placed must be ready, and any floor protection you require must be in place. For installations the room must be clean, dry, secure and free of other trades.
13.8The delivery and installation team may decline to carry out any part of a delivery they consider unsafe to people, the Piece or your property. If you ask them to proceed against their advice, you will be asked to sign a waiver, and neither Collection Noir nor the team will be responsible for resulting damage.
13.9Where access requires hoisting, craning, window or door removal, or specialist handling, this will be quoted separately and is payable by you.
13.10If a delivery cannot be completed for a reason within your control, including access, missing permissions, the site not being ready or no one being present, you will pay the cost of the failed attempt, return transport, storage under clause 8.2, and re-delivery. The team will wait up to 30 minutes on arrival; further waiting time is charged at the cost to us.
13.11You may rearrange a delivery by giving at least 5 working days' notice. Later changes are charged at the cost to us.
14. Delivery and installation contractors
14.1Delivery and installation are carried out by independent specialist contractors appointed by us, each holding their own public liability insurance.
14.2Any claim for damage to your property arising during delivery or installation is to be made against the contractor and their insurer. We will give you the contractor's details and insurance information and assist you with the claim.
14.3To the fullest extent permitted by law, Collection Noir is not liable for damage to your property caused by the contractor. This does not affect our responsibility for the Piece itself until it is delivered.
15. Inspection on delivery
15.1Please inspect your Piece on delivery and note any visible damage on the delivery note before the team leaves.
15.2Please tell us of any damage within 48 hours of delivery, with photographs of the Piece and its packaging. This lets us claim promptly against the carrier and does not affect your statutory rights.
16. Cancellation
16.1Every Piece is made to your approved Specification. Once your Order is confirmed it cannot be cancelled, except as set out in clauses 7.3 and 12.3.
16.2Orders placed in our showroom do not carry a statutory right to cancel. Orders placed at a distance for goods made to your Specification are excluded from the cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
16.3If, in any case, you have a statutory right to cancel, you must tell us in writing within 14 days of delivery. We will refund the price and standard delivery charge within 14 days of receiving the Piece back or evidence that you have returned it. You will pay the direct cost of returning the Piece, which for crated stone Pieces requires specialist collection; we will confirm this cost on request.
17. Returns and refunds
17.1Pieces made to your Specification cannot be returned or refunded for change of mind, incorrect measurements, access restrictions, or because the Piece is unsuitable for your space. This does not affect your rights if a Piece is faulty.
17.2Ex-display pieces are sold as seen. Their condition is described on your invoice and they cannot be returned for any reason covered by that description.
17.3Delivery charges are non-refundable, except where we are refunding a faulty Piece or the law requires otherwise.
18. Faulty pieces and your statutory rights
18.1We are under a legal duty to supply Pieces that are of satisfactory quality, fit for purpose and as described. If you are a Consumer, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015.
18.2If you believe a Piece is faulty, please contact us at info@collectionnoir.com with photographs. We will inspect and, where the Piece is faulty, repair or replace it, or refund you in line with your statutory rights.
18.3The following are not faults: natural variation described in clause 11; etching, staining, rings, chips, scratches or heat marks arising from use; damage caused by failure to follow our Care guidance, by improper storage, by accident or misuse; and fair wear and tear.
19. Care
19.1Natural stone reacts to acids, oils, heat and impact. Please follow the Care guidance on our website, which forms part of these Terms.
20. Our liability
20.1Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be limited by law.
20.2We are not liable for losses that were not foreseeable when the contract was formed, or for losses caused by your failure to comply with these Terms.
20.3If you are a Consumer, we only supply Pieces for domestic and private use. If you are a Trade Client, we are not liable for loss of profit, loss of business or indirect or consequential loss, and our total liability to you is limited to the price of the Order.
21. Design and intellectual property
21.1All designs, drawings, specifications, images and renders we produce, including those created for a bespoke commission, remain the property of Collection Noir Ltd.
21.2You may not copy, reproduce, or have manufactured by others any Piece or design supplied by us, or use our images, without our written consent.
22. Trade clients
22.1Trade accounts are available to interior designers, architects and developers with a registered business. Trade pricing is confirmed on application.
22.2Trade Orders are placed by pro forma invoice and are subject to these Terms. We do not offer credit accounts.
22.3The provisions of these Terms that apply only to Consumers do not apply to Trade Clients. Where you order on behalf of an end client, you are responsible for ensuring that the end client complies with clauses 11 and 13.
23. Use of our website
23.1We aim to keep the information on our website accurate and up to date, but it may occasionally contain errors. Your approved Specification and our order acknowledgement set out what we have agreed to supply.
23.2All content on our website, including text, images and designs, belongs to Collection Noir Ltd or our licensors. You may view it for personal use but may not copy, reproduce or use it commercially without our written consent.
23.3You must not misuse our website, including by introducing malicious code, attempting unauthorised access, or scraping its content.
24. Your personal information
24.1We use your personal information in accordance with our Privacy Policy.
25. Complaints, governing law and disputes
25.1If you have a complaint, please contact us at info@collectionnoir.com and we will respond as quickly as possible.
25.2These Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a Consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
26. General
26.1If any part of these Terms is found to be unenforceable, the rest will remain in effect.
26.2If we do not enforce any of our rights immediately, we may still do so later.
26.3Nobody other than you and us has any right to enforce these Terms.
26.4We may update these Terms from time to time. The Terms in force on the date your Order is confirmed apply to that Order.
